These Membership Subscription Service Agreement apply to users who purchase or use Soulkin subscriptions, membership benefits, in-app purchases, or other paid digital services outside the mainland of China. If you access or use Soulkin in the mainland of China, a separate domestic subscription agreement may apply.

Please read these Membership Subscription Service Agreement carefully before purchasing or using any paid service. By confirming a purchase, starting a subscription, redeeming an offer, or using any paid benefit, you agree to these Membership Subscription Service Agreement.

These Membership Subscription Service Agreement supplement the Soulkin Terms of Service and Soulkin Privacy Policy. If there is a conflict between these Membership Subscription Service Agreement and the Terms of Service with respect to subscriptions or paid services, these Membership Subscription Service Agreement will prevail to the extent of that conflict.

1. Who We Are and How to Contact Us

Soulkin is operated by Owleap (Hainan) Technology Co., Ltd. ("Soulkin", "the Company", "we", "us", or "our"), a company established in the mainland of China.

For App Store payment, cancellation, refund, and billing issues, you may also need to manage your subscription or submit a request through Apple, because purchases made through the App Store are processed by Apple and are subject to Apple’s applicable terms, policies, and payment rules.

2. Paid Services Covered by These Terms

Soulkin may provide subscriptions, membership plans, promotional offers, in-app purchases, digital entitlements, storage-related benefits, collaboration-related benefits, or other paid features (collectively, "Paid Services").

Paid Services may include, without limitation:

The specific benefits, limits, duration, price, billing period, and availability of each Paid Service are as displayed in Soulkin, on the App Store purchase page, or in the applicable offer terms at the time of purchase. Some features may be subject to technical, regional, legal, device, or account-level availability limits.

3. App Store Subscriptions and Billing

Soulkin subscriptions offered on iOS are generally auto-renewable subscriptions purchased through Apple’s App Store. Apple processes the payment, renewal, cancellation, refund, tax calculation, and certain billing communications according to Apple’s rules and your Apple Account settings.

Subscription periods may include monthly, annual, or other periods shown in Soulkin or on the App Store purchase page. The subscription period, price, applicable taxes, renewal terms, trial terms, and offer terms shown by Apple at the time of purchase will control.

Unless you cancel in time, an auto-renewable subscription will renew automatically at the end of each subscription period. Apple generally charges your Apple Account within 24 hours before the end of the current subscription period, unless you cancel at least 24 hours before the end of the current period or Apple’s applicable rules specify otherwise.

You are responsible for reviewing the purchase confirmation screen, subscription period, price, free trial or promotional offer terms, and renewal terms before confirming a purchase.

4. Managing or Cancelling Your Subscription

You can manage or cancel your App Store subscription through Apple. Typical paths include:

The exact path may vary depending on your device, operating system version, region, and Apple Account settings. If there is no Cancel Subscription button or Apple shows an expiration message, this usually means the subscription has already been cancelled or is not currently renewable through that page.

Uninstalling Soulkin, deleting your Soulkin account, logging out, disabling notifications, or not using the app does not automatically cancel an App Store subscription. You must cancel through Apple or another applicable billing provider where the subscription was purchased.

After cancellation, you will normally continue to have access to the paid benefits until the end of the current paid period, unless Apple’s rules, applicable law, or the applicable offer terms provide otherwise.

5. Prices, Taxes, and Price Changes

All subscription prices, taxes, currency conversions, and billing details shown on the App Store purchase page are controlled by Apple and may vary by country or region. The price you see before confirming a purchase is the price that applies to that transaction, subject to Apple’s rules and applicable law.

We may change the price of a subscription or Paid Service from time to time. Price decreases may apply automatically according to Apple’s rules. For price increases, Apple may notify you by email, push notification, in-app message, App Store notice, or other Apple-provided method. Some price increases may require your consent before they take effect; other smaller or infrequent price increases may take effect after advance notice where permitted by Apple’s rules and applicable law.

If you do not agree to a price increase, you may cancel the subscription before the new price applies. If Apple requires your consent and you do not consent, your subscription may expire at the end of the current period according to Apple’s rules.

6. Free Trials, Promotional Offers, and Redemption Codes

Soulkin may offer free trials, introductory prices, promotional offers, offer codes, redemption codes, or other limited-time benefits. The availability, eligibility, duration, price, renewal terms, and limitations of such offers will be shown in Soulkin, on the App Store, or in the applicable offer terms.

Unless otherwise stated in the offer terms, a free trial or promotional offer may convert into a paid auto-renewable subscription at the end of the trial or promotional period. You should cancel before the deadline shown by Apple if you do not want the subscription to renew as a paid subscription.

Promotional offers and redemption codes may be limited to certain users, countries or regions, plans, devices, accounts, time periods, or eligibility conditions. We may refuse, revoke, or adjust promotional benefits if we reasonably believe that they were obtained through fraud, abuse, technical manipulation, unauthorized resale, or violation of these Membership Subscription Service Agreement, subject to applicable law and Apple’s rules.

7. Scope of Membership Benefits

A Soulkin subscription is generally associated with the Soulkin user account and Apple Account used to purchase or restore the subscription. Unless expressly stated otherwise, paid benefits apply only to the Pet Space owned or managed by the subscribing user as the Pet Space owner.

If you join another user’s Pet Space as a collaborator, co-caretaker, household member, or invited participant, your own subscription benefits do not automatically extend to that other user’s Pet Space. The limits and benefits of that Pet Space are generally determined by the subscription status and plan of the relevant Pet Space owner, unless Soulkin expressly provides a different rule in the app.

Membership benefits are personal, non-transferable, and may not be sold, rented, assigned, shared outside the supported features, or used to provide storage, account, or collaboration services to third parties in a way that exceeds the intended scope of Soulkin.

8. Storage, Quotas, and Over-Quota Protection

Some Paid Services include storage capacity or other usage quotas. Quotas may apply to photos, videos, journals, pet records, Pet Space members, pets, uploads, downloads, backups, collaboration actions, or other resources.

If your usage exceeds the quota of your current plan, Soulkin may place the relevant account or Pet Space into an over-quota protection state. During this state:

To protect service stability and fairness, Soulkin may apply reasonable usage controls, including upload rate limits, periodic upload allowances, abuse-prevention limits, or other technical restrictions based on plan level, storage capacity, account risk, server load, or abnormal usage patterns.

We will not intentionally delete your existing user content merely because a subscription expires or is downgraded, except where deletion is requested by you, required by law, necessary for safety or security, permitted by the Terms of Service, or otherwise described in the Privacy Policy. However, access, uploading, editing, collaboration, or expansion features may be restricted while your usage exceeds the applicable limits.

9. Upgrades, Downgrades, and Plan Changes

When you upgrade from a lower-tier subscription to a higher-tier subscription, the new subscription may take effect immediately or according to Apple’s subscription upgrade rules. Apple may automatically handle any unused portion of your previous subscription through refund, proration, credit, or other billing adjustment according to Apple’s policies.

When you downgrade or change to a lower-tier subscription, the change usually takes effect at the end of the current subscription period, and your current paid benefits generally remain available until that time, unless Apple’s rules or applicable law provide otherwise.

If a downgrade, expiration, cancellation, refund, or payment failure causes your current usage to exceed the limits of your new plan or free plan, Soulkin may require the Pet Space owner to select which pets, collaborators, storage items, or other resources to retain within the applicable plan limits. Until the adjustment is completed, the affected Pet Space may be partially restricted.

10. Refunds

For purchases made through the App Store, Soulkin does not directly approve or process refunds. Refund requests must generally be submitted to Apple through Apple’s official refund process. Apple independently determines refund eligibility, refund amount, refund method, review timing, and payment return timing according to Apple’s policies and applicable law.

If Apple approves a refund, the refunded subscription or paid entitlement may be treated as ended, reversed, or adjusted from the effective time determined by Apple or by our receipt verification systems. Your Soulkin membership benefits may be reduced, terminated, or restored to the level corresponding to your remaining valid subscription status.

A refund may result in loss of unused paid benefits, over-quota restrictions, downgrade-related limitations, storage or collaboration limits, or other adjustments described in these Membership Subscription Service Agreement. Nothing in these Membership Subscription Service Agreement limits any refund, withdrawal, cancellation, chargeback, or consumer protection right that cannot be waived under applicable law.

11. Payment Failures, Billing Issues, and Restoration

If Apple is unable to collect payment, if your payment method fails, if your Apple Account has a billing issue, or if Apple marks a subscription as expired, cancelled, refunded, revoked, or in billing retry, Soulkin may not be able to continue providing the paid benefits until Apple confirms a valid subscription status.

You may use Apple’s account and subscription management tools to update payment information, resolve billing issues, restore purchases, or re-subscribe. Soulkin may provide a Restore Purchases function or similar tool to help verify App Store entitlements, but final billing status is determined by Apple’s systems and the transaction information available to us.

If you believe your paid benefits are not correctly reflected in Soulkin, please contact us with your Soulkin account information and non-sensitive purchase details. Do not send full payment card numbers, payment passwords, Apple Account passwords, or other sensitive payment credentials.

12. User Obligations and Prohibited Conduct

When using Paid Services, you must comply with these Membership Subscription Service Agreement, the Soulkin Terms of Service, the Soulkin Privacy Policy, Apple’s applicable rules, and applicable law. You must not:

If we reasonably determine that you have violated this section, we may take proportionate measures, such as removing improperly obtained benefits, limiting functions, suspending paid features, denying promotional eligibility, or terminating access to Paid Services. Where practicable and not prohibited by law or platform rules, we will provide reasonable notice and an opportunity to explain or appeal before taking permanent or highly restrictive measures.

13. Service Adjustments, Availability, and Interruptions

We may modify, suspend, interrupt, or discontinue Paid Services or specific benefits where reasonably necessary for product updates, security protection, system maintenance, legal compliance, App Store requirements, technical limitations, abuse prevention, business adjustments, or force majeure events.

Where practicable, we will provide reasonable notice of material changes that adversely affect your paid benefits. However, urgent changes may be made without prior notice where necessary to protect security, prevent harm, comply with law, respond to Apple or payment platform requirements, or maintain service stability.

If we permanently discontinue a material paid feature during an active paid period, we will handle any refund, credit, alternative arrangement, or transition measure in accordance with applicable law, Apple’s rules, and any applicable Separate Agreements or offer terms.

In such cases, you may be entitled to a pro-rata refund for the unused portion of your subscription where required by applicable law or Apple’s rules.

14. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law and without limiting any statutory consumer rights that cannot be waived by contract, Soulkin is not responsible for losses or service issues caused by:

Nothing in these Membership Subscription Service Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, intentional misconduct, gross negligence, personal injury caused by negligence where applicable, or mandatory consumer rights.

15. Changes to These Membership Subscription Service Agreement

We may update these Membership Subscription Service Agreement from time to time to reflect product changes, subscription plan changes, App Store requirements, legal developments, operational needs, or changes to our business. The updated version will be posted in Soulkin or otherwise made available to you.

For material changes that adversely affect your rights or obligations, we will provide reasonable prior notice, and where practicable at least 30 days’ prior notice. Material changes include, without limitation, changes that substantially reduce your paid benefits, increase your obligations, significantly modify refund or cancellation-related rules, or change governing law or dispute resolution terms.

If a change requires your consent under applicable law, we will seek such consent before the change applies to you. If you do not agree to the updated terms, you should stop using the affected Paid Services and, where applicable, cancel your subscription through Apple before the next renewal date.

16. Governing Law and Dispute Resolution

These Membership Subscription Service Agreement are governed by the laws and regulations of the People’s Republic of China, which for the purposes of these Membership Subscription Service Agreement exclude conflict-of-law rules and exclude the laws of the Hong Kong Special Administrative Region, the Macau Special Administrative Region, and the laws applicable in the Taiwan region, except where mandatory laws of your country or region of residence require otherwise.

For individual consumer users outside the mainland of China, nothing in these Membership Subscription Service Agreement limits any non-waivable right you may have under mandatory consumer protection, subscription, payment, digital content, data protection, or platform laws in your country or region of habitual residence.

If a dispute arises in connection with these Membership Subscription Service Agreement or Paid Services, you and Soulkin should first try to resolve the dispute through friendly consultation. If consultation fails, business users and consumers where permitted by mandatory law may submit the dispute to the people’s court that has jurisdiction at the place where these Membership Subscription Service Agreement are signed or where Soulkin is located. For individual consumers, the choice of such courts does not limit any right you may have to bring claims in the courts of your habitual residence or another statutory forum as allowed by applicable law.

17. Miscellaneous

If any provision of these Membership Subscription Service Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

If these Membership Subscription Service Agreement are provided in multiple languages, for users outside the mainland of China the English version shall prevail unless a separate localized version expressly states otherwise or mandatory law requires otherwise.

These Membership Subscription Service Agreement become effective for you when you confirm a purchase, start a subscription, redeem a paid offer, or use a Paid Service.
